PAYMENT THRESHOLD

MusifyIndia is a music distribution company that maintains a minimum payment threshold of USD $100 or its equivalent in Indian currency for eligible user earnings.

Regular payment processing may be initiated when the user's eligible payable earnings reach or exceed the applicable threshold.

However, MusifyIndia may, at its sole discretion, process a partial or full payment below the threshold based on the user's account status, active plan, operational requirements, business considerations or other applicable circumstances.

Any payment made below the threshold shall be considered a discretionary payment and shall not create an obligation to make similar payments in the future.

SECTION 15 – SEVERABILITY

SECTION 16 – TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service remain effective unless terminated by you or by us.

You may terminate these Terms at any time by notifying us that you no longer wish to use our Services or when you cease using our site.

If, in our sole judgment, you fail to comply with any term or provision of these Terms, we may terminate this agreement without notice and you will remain liable for all amounts due up to and including the date of termination.

MusifyIndia may provide distribution, monetization, administration and content management services for licensed audio and audiovisual content subject to the applicable agreement, license, plan and rights granted by the content owner.

The applicable rights may include distribution through digital and telecom channels, including but not limited to:

• IVR

• WAP

• WEB

• IVVR

• CRBT / Caller Tune

• Mobile Operator Portals

• App Stores

• OEM Platforms

• Audio Streaming Platforms

• Video Platforms

• Digital Music Services

The specific rights, channels and territories applicable to a particular content catalogue shall be determined by the relevant license, agreement, plan or content submission.

SECTION 23 – LICENSED CONTENT

Licensed Content may include, subject to the rights granted by the content owner:

• Full Track Master Sound Recordings

• Full Track Master Recordings

• Audio-Visual Songs

• Instrumental / Minus-One / Karaoke Recordings, where applicable rights have been granted

• Content listed in the applicable catalogue or annexure

• Future content submitted and licensed by the content owner

The content owner represents that it has the necessary rights and authority to grant the applicable license for the submitted content.

SECTION 24 – CRBT AND OPERATOR CONTENT GUIDELINES

धारा 24 – CRBT एवं ऑपरेटर सामग्री संबंधी दिशानिर्देश

Certain content may not be processed, distributed or made available through particular telecom or CRBT services where such content does not comply with the applicable content guidelines of the relevant operator, platform or service provider.

Content may be rejected or withheld where it contains, among other things:

• Political or sensitive content

• Advertising or promotional content

• Brand names or corporate references

• Corporate songs or voice recordings

• IVRS-related content

• National Anthem or other restricted material

• Objectionable or prohibited words

• Other content restricted by the applicable operator or platform guidelines

Examples of content that may be subject to restrictions include references to brands such as TikTok, WhatsApp, PUBG, Ferrari or Facebook, sensitive subjects such as “Farmers”, and restricted national or public-interest content.

The final decision regarding acceptance, rejection or processing of content shall remain subject to the applicable guidelines and policies of the relevant operator or platform.

कुछ सामग्री संबंधित Telecom Operator, CRBT सेवा, प्लेटफॉर्म या सेवा प्रदाता की लागू Content Guidelines के अनुरूप न होने पर किसी विशेष सेवा के माध्यम से Process, Distribute या उपलब्ध नहीं कराई जा सकती।

ऐसी सामग्री को अस्वीकार या रोक दिया जा सकता है जिसमें, अन्य बातों के साथ:

SECTION 25 – DISTRIBUTION CHANNELS AND TERRITORIES

Distribution channels and territories available for licensed content may include, subject to the applicable agreement and rights:

IVR: Worldwide, where supported by applicable operators and services.

WAP / WEB: Worldwide, including applicable mobile operators, app stores and OEM platforms.

CRBT / Caller Tune: Subject to the availability, technical requirements and content policies of participating telecom operators.

Digital Distribution: Domestic and international digital platforms and services, subject to applicable rights, platform policies and technical requirements.

लाइसेंस प्राप्त सामग्री के लिए उपलब्ध वितरण चैनल एवं क्षेत्र संबंधित Agreement एवं प्रदान किए गए अधिकारों के अधीन निम्नलिखित हो सकते हैं:

SECTION 26 – FREE MUSIC DISTRIBUTION REVENUE SHARE

धारा 26 – निःशुल्क म्यूज़िक डिस्ट्रीब्यूशन राजस्व साझेदारी

Where a specific music distribution arrangement expressly provides for a 60/40 revenue share, the applicable revenue generated from eligible digital audio distribution shall be distributed between the relevant parties in accordance with the applicable agreement, plan or commercial terms.

The exact revenue calculation, eligible revenue, deductions, reporting period and payment schedule shall be governed by the applicable agreement or plan selected by the user.

जहाँ किसी विशेष Music Distribution Arrangement में स्पष्ट रूप से 60/40 Revenue Share निर्धारित किया गया हो, वहाँ पात्र Digital Audio Distribution से प्राप्त संबंधित राजस्व को लागू Agreement, Plan या Commercial Terms के अनुसार संबंधित पक्षों के बीच वितरित किया जाएगा।

SECTION 28 – ACCEPTANCE OF TERMS

धारा 28 – शर्तों की स्वीकृति

By accessing the website, creating an account, purchasing a plan, submitting content, or using any Service provided by MusifyIndia, you acknowledge that you have read, understood and agreed to these Terms of Service and any applicable policies or agreements referenced herein.

Where electronic acceptance is provided through a checkbox, button or other digital mechanism, such electronic acceptance shall constitute your acknowledgement and acceptance of the applicable Terms, subject to applicable law.

SECTION 29 – CONTENT COMPLIANCE, PENALTIES & SUSPENSION
धारा 29 – सामग्री अनुपालन, दंड एवं निलंबन

The Artist, Label, Distributor, Partner or Content Owner (“User”) shall be solely responsible for ensuring that all content submitted to MusifyIndia is lawful, authorized and compliant with applicable copyright laws and the policies of DSPs, CMS providers, YouTube, social media platforms, telecom operators and other third-party services.

If any content or activity of the User involves copyright infringement, fraud, unauthorized content, artificial streaming, misleading information, policy violations or any other illegal/prohibited activity, and as a result MusifyIndia receives any claim, penalty, revenue hold, takedown, strike, restriction, suspension or other action from any platform, CMS provider, copyright owner or third party, the User shall be responsible for the resulting liability, subject to applicable law.

MusifyIndia may, where necessary:

• Hold or suspend related content, revenue, account or services;

• Request copyright documents, licenses, NOCs, agreements or other proof of rights;

• Recover applicable penalties, claims, losses and reasonable related costs attributable to the User;

• Suspend, restrict or terminate the User’s account/services; and

• Take appropriate legal or contractual action.

MusifyIndia shall not be responsible for third-party penalties, restrictions or actions arising from the User’s content, conduct, representations or violations.

Artist, Label, Distributor, Partner या Content Owner (“User”) यह सुनिश्चित करने के लिए पूर्ण रूप से जिम्मेदार होगा कि MusifyIndia को दिया गया सभी Content कानूनी, अधिकृत तथा लागू Copyright Laws और DSPs, CMS Providers, YouTube, Social Media Platforms, Telecom Operators तथा अन्य Third-Party Services की नीतियों के अनुरूप हो।

यदि User के किसी Content या गतिविधि में Copyright Infringement, Fraud, Unauthorized Content, Artificial Streaming, गलत जानकारी, Platform Policy Violation या किसी अन्य अवैध/प्रतिबंधित गतिविधि का पता चलता है और उसके परिणामस्वरूप MusifyIndia को किसी Platform, CMS Provider, Copyright Owner या Third Party द्वारा Claim, Penalty, Revenue Hold, Takedown, Strike, Restriction, Suspension या अन्य कार्रवाई का सामना करना पड़ता है, तो लागू कानून के अधीन उसकी संबंधित जिम्मेदारी User की होगी।

MusifyIndia आवश्यकता पड़ने पर:

• संबंधित Content, Revenue, Account या Services को Hold/Suspend कर सकता है;

• Copyright Documents, License, NOC, Agreement या अन्य Rights Proof मांग सकता है;

• User के कारण उत्पन्न लागू Penalty, Claim, Loss तथा उचित संबंधित Costs की Recovery कर सकता है;

• User के Account/Services को Suspend, Restrict या Terminate कर सकता है; तथा

• आवश्यक Contractual या Legal Action ले सकता है।

User के Content, Conduct, गलत जानकारी या उल्लंघन के कारण किसी Third Party द्वारा लगाए गए Penalty, Restriction या अन्य कार्रवाई के लिए MusifyIndia जिम्मेदार नहीं होगा।
